1. Agreement to Terms

Welcome to Mindlet. By accessing or using our AI-powered chatbot platform, website, services, and embedded widgets (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

Mindlet is operated as an individual service based in India. These Terms constitute a legally binding agreement between you and the operator of Mindlet.

2. Description of Service

Mindlet provides an AI chatbot creation and deployment platform that allows you to:

• Create custom AI chatbots powered by OpenAI, Anthropic (Claude), and Groq models
• Train chatbots using various data sources (files, websites, Notion, Q&A)
• Embed chatbots on your website via customizable widgets
• Manage conversations, leads, and analytics
• Integrate with third-party services (Calendly, Cal.com, Notion)
• Customize chatbot appearance, behavior, and settings
• Manage team members and chatbot access

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 13 years old to use our Service. By creating an account, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information is accurate and up-to-date

3.3 Authentication Methods

You may create an account using email/password or Google OAuth. All authentication is handled securely through Supabase with encrypted password storage.

4. Subscription Plans and Billing

4.1 Subscription Tiers

Mindlet offers multiple subscription plans with varying features, character limits, and pricing. Plan details are displayed on our pricing page and may be updated from time to time.

4.2 Payment Processing

Payments are processed securely through Dodo Payments. We support both USD and INR currencies with monthly and yearly billing options. Payment processing is currently in test mode during our beta phase.

4.3 Billing and Renewals

• Subscriptions automatically renew at the end of each billing period
• You will be charged the then-current rate for your selected plan
• You can cancel or change your subscription at any time from your account settings
• Cancellations take effect at the end of the current billing period
• No refunds are provided for partial billing periods

4.4 Plan Limits

Each plan has specific limits (character limits per chatbot, message credits, features). If you exceed your plan limits, your chatbots may be disabled until you upgrade or wait for your monthly reset.

5. Acceptable Use Policy

You agree NOT to use our Service to:

• Violate any laws, regulations, or third-party rights
• Create chatbots that spread misinformation, hate speech, or harmful content
• Impersonate any person or entity, or falsely represent your affiliation
• Distribute malware, viruses, or other malicious code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Scrape, spider, or harvest data from the Service using automated means
• Interfere with or disrupt the Service or servers
• Use the Service for any illegal purpose or to facilitate illegal activities
• Bypass rate limits, character limits, or other plan restrictions
• Resell or redistribute the Service without written permission

Violation of this policy may result in immediate suspension or termination of your account.

6. Content and Data

6.1 Your Content

You retain ownership of all content you upload, create, or provide to the Service ("Your Content"). By using our Service, you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and display Your Content solely to provide and improve the Service.

6.2 Content Responsibility

You are solely responsible for:

• The accuracy, legality, and appropriateness of Your Content
• Ensuring you have rights to use and share the content you upload
• Compliance with copyright, trademark, and intellectual property laws
• Any consequences arising from Your Content or chatbot responses

6.3 AI-Generated Content

Chatbot responses are generated by AI models (OpenAI, Anthropic, Groq) based on your training data. We do not guarantee the accuracy, completeness, or reliability of AI-generated responses. You are responsible for reviewing and moderating chatbot outputs.

6.4 Data Processing

We process your data using third-party AI services. Your content may be sent to OpenAI, Anthropic, or Groq for processing. Review our Privacy Policy and the privacy policies of these providers to understand how your data is handled.

7. Third-Party Integrations

Our Service integrates with third-party platforms including:

• Firecrawl: Web scraping for knowledge base creation
• Notion: Knowledge base synchronization via OAuth
• Calendly/Cal.com: Appointment scheduling features
• Google OAuth: Authentication

Your use of these integrations is subject to their respective terms of service and privacy policies. We are not responsible for the actions, content, or services of third-party providers.

8. Intellectual Property

8.1 Our Rights

The Service, including all software, design, text, graphics, logos, and code, is owned by Mindlet and protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble the Service
• Remove or modify any copyright, trademark, or proprietary notices
• Use our branding without written permission

8.2 License to Use

Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

9. Disclaimers and Limitations of Liability

9.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI-GENERATED CONTENT.

9.2 No Guarantee of Availability

We do not guarantee that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We may suspend or discontinue the Service at any time without notice.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINDLET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Mindlet and its operator from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your Content or chatbot responses
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable laws or regulations

11. Termination

11.1 Termination by You

You may cancel your account at any time from your account settings. Upon cancellation, your subscription will remain active until the end of the current billing period, after which your account and data will be subject to our 14-day retention policy.

11.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if you:

• Violate these Terms
• Engage in fraudulent or illegal activities
• Fail to pay subscription fees
• Create security or liability risks

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Your data will be retained for 14 days, during which you may request data export. After 14 days, all data is permanently deleted.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Updating the "Last updated" date at the top of this page
• Sending an email notification to your registered email address
• Displaying a prominent notice on our website

Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must discontinue use of the Service.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

13.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in India for resolution of any disputes arising from these Terms or the Service.

13.3 Dispute Resolution

Before filing any legal action, you agree to first contact us at hello@mindlet.io to attempt to resolve the dispute informally.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mindlet regarding the Service.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms at any time without notice.
